What is the investment minimum?

The minimum investment is 525 shares at $.80 per share, which totals $420. 

 

What payment methods does Med-X accept?

Are there any additional fees to invest?

No, there are no additional fees to invest in Med-X Inc.

 

Is there a final date to invest in Med-X Inc.?

The set close date for our Regulation A+ offering is 8/12/2020. The offering can be extended at our sole discretion. However, if all available shares are sold before 8/12/2020, then the Offering will terminate on the date that the final share is sold.

How much capital is Med-X Inc. looking to raise?

We are offering up to 12,500,000 shares of Common Stock for up to $10,000,000 at an offering price of $.80 per share.

 

What is a subscription agreement?

A subscription agreement is a legal contract between you and Med-X Inc. to purchase shares. This purchase of stock is a one-time event. No recurring payments will be withdrawn from your account(s).

 

How will Med-X Inc. use funds?

Funds from this offering are being used for future growth and acquisition plans. Please view our offering curricular for more details on our plans for the future.

 

Do I have to be a U.S. citizen, or live in the U.S. to invest?

No, our offering is open to international investors as well.

 

Is there a market for trading my shares?

No, at this time all common shares purchased from the company are private, non-liquid securities. We have reserved a Nasdaq exchange ticker symbol “MXRX.” As a publicly reporting company under Regulation A+ we are one filing away from entering the public market if and when management decides to go in this direction. However, there is no guarantee that we will be successful in obtaining an exchange listing.

What happens after I invest?

After escrow closes, the shares will be issued to you via our Transfer Agent, VStock Transfer, LLC. Your shares will be held in Book Entry by the Transfer Agent until such time Med-X, Inc. enters the public market. From there, you would be able to transfer your shares to your brokerage account or have them delivered to you. As an investor, you are entitled to complimentary investor updates from Med-X Inc. and you will be added to our investor email list. 

 

Will Med-X list on a public exchange?

It has been the company’s mission to offer its investors a clear route to liquidity. The management team is prepared to take the company to an exchange when it is best positioned to do so. The company has reserved the ticker symbol “MXRX” with the Nasdaq.

 

When the offering closes, how do I transfer my shares?

After the offering closes, you may request that your shares held in Book Entry be issued to you in the form of an actual Certificate via VStock, our Transfer Agent.

What is the JOBS Act?

The Jumpstart Our Business Startups (JOBS) Act was signed into law in April 2012, to encourage small business funding by easing some securities regulations. The JOBS Act required the Securities and Exchange Commission (SEC) to adopt rules to implement a new exemption that would allow businesses to accept contributions from private individuals without making an initial public offering.

 

What is Regulation A+ equity crowdfunding?

In June 2015, the final "Regulation A+" rules under Title IV of the JOBS Act became effective, after approval by the SEC, paving the way for companies like Med-X Inc. to solicit a raise of up to $50 million from both accredited and non-accredited investors.

 

What does “the SEC has qualified this offering” mean?

"The SEC has qualified this offering," means the SEC has permitted Med-X Inc. to offer the sale of securities described in the offering circular to investors such as you. The SEC is not judging the merits, accuracy, or completeness of the offering and information in the offering circular. The SEC is merely ensuring that Med-X, Inc. has met federal legal disclosures and regulatory requirements necessary to make these shares available to you.

 

Who can invest in a Regulation A+ offering?

Anyone, accredited and non-accredited investors alike, are eligible to purchase securities in a Regulation A+ offering.

 

Is there a difference between accredited and non-accredited investors?

Yes. An accredited investor is an individual who makes over $200,000 per year ($300,000 if combined with a spouse) or who has a net worth of $1 million or more, excluding their primary residence. A non-accredited investor is anyone who does not meet the requirements for an accredited investor.

 

How much money can I invest in a Regulation A or A+ offering?

Non-accredited investors can invest up to 10% of their annual income or net worth, whichever is greater annually. There are no restrictions for accredited investors.
